Content Engine 52 End User Licence Agreement

This End User Licence Agreement applies to the use of Content Engine 52 and any other applications made available as part of The Signature Toolkit by Made by Signature Ltd, trading as made by Signature.

By creating an account, accessing or using Content Engine 52, you agree to this End User Licence Agreement.

1. Ownership

Content Engine 52 is owned and operated by Made by Signature Ltd.

Made by Signature Ltd retains all ownership, copyright, intellectual property rights and other rights in and relating to Content Engine 52, including its:

  • Software and source code
  • Application structure and database structure
  • Design, layout and user interface
  • Branding, graphics and visual assets
  • Workflows and functionality
  • Prompts, instructions and AI configurations
  • Questions and onboarding structure
  • Content frameworks and methodologies
  • Output structures and formats
  • Training materials, documentation and guidance
  • Updates, improvements and future versions

Your subscription, account or payment gives you permission to use Content Engine 52 in accordance with this agreement. It does not transfer ownership of Content Engine 52 or any part of it to you.

2. Licence to Use Content Engine 52

Subject to payment of the applicable fees and compliance with this agreement, Made by Signature Ltd grants you a limited, non-exclusive, non-transferable and revocable licence to access and use Content Engine 52 for the purposes covered by your selected plan.

The licence continues only while your account remains active and all applicable payments are up to date.

No ownership rights are transferred to you.

3. Permitted Use

Individual users may use Content Engine 52 for their own business and content creation.

Agency Partners may use Content Engine 52 for the client accounts and workspaces paid for under their separate Agency Partner Agreement.

Founding Partners may introduce customers and promote subscriptions only in accordance with their separate Founding Partner Agreement.

Nothing in this agreement gives a partner the right to reproduce, rebrand, white-label, copy, sublicense or independently resell the Content Engine 52 platform.

Where a separate written Partner Agreement conflicts with this End User Licence Agreement, the Partner Agreement will apply only to the specific additional rights expressly granted within it.

4. Restrictions

Unless Made by Signature Ltd gives prior written permission, you must not:

  • Share your login details or account access with another person
  • Allow an account or workspace to be used by an unrelated business
  • Copy, reproduce, modify or adapt any part of Content Engine 52
  • Access, obtain or attempt to obtain its source code
  • Reverse engineer, decompile or disassemble the software
  • Recreate its workflows, prompts, frameworks or functionality for commercial use
  • Extract or systematically copy its questions, prompts, templates, structures or training materials
  • Sell, sublicense, rent, lease, distribute or commercially exploit the platform
  • White-label or present Content Engine 52 as your own software
  • Remove or conceal copyright, trade mark or ownership notices
  • Use automated tools to scrape, extract or duplicate platform content
  • Circumvent user limits, payment requirements, access restrictions or security measures
  • Use Content Engine 52 unlawfully or to create unlawful, misleading or infringing content
  • Use the platform to develop or assist in developing a competing product based substantially on its protected materials, structure or functionality

Agency and Founding Partners may exercise only the rights expressly set out in their separate Partner Agreement.

5. Your Content

You retain ownership of the original business information and content that you enter into Content Engine 52.

You also retain your rights in the final content created specifically for your business through your use of the platform, subject to any rights belonging to third-party services or content providers.

You grant Made by Signature Ltd a limited right to host, store, process, reproduce and transmit your information and generated content where necessary to:

  • Operate Content Engine 52
  • Generate your requested outputs
  • Save your account information
  • Provide support
  • Maintain security
  • Improve and develop the service

This permission continues only for as long as reasonably necessary to provide the service, meet legal obligations and maintain legitimate business records.

You are responsible for checking the accuracy, legality and suitability of content before using or publishing it.

6. AI-Generated Content

Content Engine 52 may use third-party artificial intelligence services to generate or assist with content.

AI-generated content may contain errors, omissions, similarities to other content or unsuitable information.

You are responsible for reviewing and approving all content before publication or use.

Made by Signature Ltd does not guarantee that generated content will be unique, factually accurate, legally compliant, suitable for a regulated sector or free from third-party claims.

7. Accounts and Security

You are responsible for:

  • Keeping login details secure
  • Ensuring information supplied through your account is accurate
  • Controlling access by your employees, contractors or clients
  • Informing Made by Signature Ltd promptly of suspected unauthorised access
  • Removing access when a person or client is no longer authorised to use the account

You remain responsible for activity carried out through your account unless caused directly by a failure of Made by Signature Ltd's systems.

8. Availability and Changes

Content Engine 52 is provided as a hosted service.

Made by Signature Ltd may update, improve, replace or alter features, workflows, interfaces, integrations and technical infrastructure as the platform develops.

Reasonable efforts will be made to keep the service available, but uninterrupted or error-free access cannot be guaranteed.

Access may occasionally be affected by maintenance, security work, technical faults, third-party services or circumstances outside the reasonable control of Made by Signature Ltd.

9. Suspension and Termination

Made by Signature Ltd may suspend or terminate access where:

  • Fees are unpaid
  • Login or workspace access is improperly shared
  • The platform is copied, misused or commercially exploited without permission
  • This agreement or a Partner Agreement is breached
  • Use creates a security, legal or reputational risk
  • The user attempts to interfere with or gain unauthorised access to the platform
  • The platform is used for unlawful purposes

Where reasonably possible, Made by Signature Ltd will give notice and an opportunity to correct a minor breach.

Access may be terminated immediately in cases of serious misuse, intellectual property infringement, unlawful activity, deliberate circumvention or security risk.

Payments already made are non-refundable unless required otherwise by law.

When the licence ends, your right to access and use Content Engine 52 ends.

10. No Transfer of Intellectual Property

No subscription, commission payment, Agency Partner payment, Founding Partner arrangement, client relationship or contribution of feedback gives the user or partner any ownership interest in Content Engine 52.

Suggestions, feedback and improvement ideas may be used by Made by Signature Ltd to develop Content Engine 52 without creating a right to ownership, royalties or payment unless expressly agreed in writing beforehand.

11. Liability

Content Engine 52 is provided with reasonable care and skill but without any guarantee of particular sales, visibility, engagement, enquiries, search rankings or commercial results.

To the extent permitted by law, Made by Signature Ltd will not be responsible for indirect or consequential losses, loss of profit, lost opportunities, lost content or business interruption arising from the use of Content Engine 52.

Nothing in this agreement excludes liability that cannot lawfully be excluded.

12. Governing Law

This agreement is governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes arising from this agreement.
